Kathmandu. Citizens Bank has called its eighth special general meeting.
The meeting of the Board of Directors of the bank has decided to hold the AGM on June 17. The meeting will begin at 9:00 am at the bank’s head office in Durbar Marg, Kathmandu through Zoom and physical form.
The meeting will endorse a special proposal to issue ‘Citizens Unissued, Unreserved, Preference Shares’ worth Rs 2 billion at face value of Rs 100. The preference share has an annualized dividend rate of 7.5 percent.
The meeting will also endorse a special proposal to amend the relevant clauses of the memorandum of association for the issuance of preferential shares. The meeting will endorse a proposal authorizing the Board of Directors to amend the Memorandum of Association and Articles of Association as per the suggestions and suggestions of the regulatory bodies for the issuance of preferential shares. The AGM will also elect 1 director from promoter group and 2 directors from general group to the board of directors.
The bank has decided to close its book on June 26 for the special general meeting. This means that only the shareholders who have been registered before June 26 will be eligible to participate in the special general meeting of the bank.
