Kathmandu. Sanima GIC Insurance has convened its eighth Annual General Meeting.
The meeting of the Board of Directors of the company held on Thursday decided to hold the AGM on May 20. The meeting will begin at 11 am at the Nepal Police Club in Exhibition Road, Kathmandu.
The meeting will approve a total dividend of 5.2632 per cent of the current paid-up capital of Rs 2.15 billion proposed for FY82. This includes 5 per cent bonus shares and 0.2632 per cent cash dividend for tax purposes.
The same meeting shall pass a special resolution to review the decision to issue 17 per cent of the paid-up capital of the right shares passed by the Seventh Annual General Meeting. It shall now pass a special resolution authorizing the Board of Directors to amend and make any changes in the Memorandum of Association and Articles of Association and other works if directed by the Recording or Sanctioning Body to make any changes in the Memorandum of Association and Articles of Association, if directed by the Recording or Sanctioning Body.
The meeting shall approve the annual and auditor’s report for the last fiscal year 2082. 83 shall approve the proposal relating to the appointment of the auditor and the determination of his remuneration.
The company has decided to close the book on May 23 for the purpose of dividends and meetings. This means that only the shareholders who have remained in the company as of May 22 will be eligible to receive the dividend and attend the meeting.
