Kathmandu. Kalinchowk Darshan has called its 12th Annual General Meeting.
A meeting of the Board of Directors of the company held on Wednesday decided to hold the general meeting on September 3. The meeting will begin at 11:30 am at the German Homes Hotel in Gatthaghar, Bhaktapur.
The meeting approved a total dividend of 8.9474 per cent of the current paid-up capital of Rs 63 crore proposed for FY83. It will approve a total dividend of 8.9474 per cent of the current paid-up capital of Rs 63 crore. This includes bonus shares of Rs 5,35,50,000 per cent for tax purposes and cash dividend of Rs 2,818,421.05 per cent for tax purposes.
The meeting will also pass a special resolution to issue 1:1 of the paid-up capital i.e. 100 percent right shares after the distribution of bonus shares. Since the paid-up capital will increase after the distribution of bonus shares, it will approve another special proposal to amend the memorandum of association and regulations accordingly.
The meeting shall pass a resolution authorizing the Board of Directors to amend the Memorandum of Association and the Regulations, if any changes are received from the regulatory bodies. The meeting shall approve a proposal for expansion of the company’s business horizon and diversification of investments.
The meeting approved the annual and auditor’s report for the last fiscal year and the current fiscal year 2083. 84 will pass a resolution relating to the appointment of the auditor and the determination of his remuneration.
The meeting shall approve the appointment of a director for the remainder of the term.
The company has decided to close the book on September 9 for the purpose of dividends and meetings. Only the shareholders who have remained in the company before September 9 will be eligible to receive the dividend and attend the meeting.
