Kathmandu. Global IME Bank has called its 20th Annual General Meeting.
The meeting of the board of directors of the bank held on Monday decided to hold the general meeting on September 3. The meeting will begin at 9 am at Nepal Police Club, Bhrikutimandap in Kathmandu.
The meeting will approve a total dividend of 10 per cent of the current paid-up capital proposed for FY83. This includes 4 per cent bonus shares and 6 per cent cash dividend (including tax).
The meeting will also pass a special resolution to amend the Memorandum of Association and Articles of Association by increasing the issued and paid-up capital to the same extent after the distribution of bonus shares. In this regard, the meeting will also approve another special resolution authorizing the Board of Directors to comply with any suggestion or direction from the regulatory body.
The AGM will approve the consolidated financial statements of the bank’s subsidiaries Global IME Capital, Global IME Laghubitta Bittiya Sanstha and Global IME Securities for the fiscal year. The meeting will approve the annual and financial report of the bank for the fiscal year and approve the proposal regarding the appointment of an auditor for the current fiscal year and his remuneration.
The bank has decided to close the book on September 20 for the purpose of dividends and meetings. This means that only the shareholders who have been held before September 5 will be eligible to receive the dividend of this bank and participate in the meeting.
