Kathmandu. The 12th Annual General Meeting (AGM) of the Community Laghubitta Bittiya Sanstha Limited is going to be held in Kathmandu. The meeting will be held at 11 a.m. on Friday, April 10, according to the organization. The meeting will be held at Hotel Ugrachandi, Banepa-07, Kavrepalanchowk.
The AGM will discuss and approve the annual report of the FY 2081/82 presented by the Chairman on behalf of the Board of Directors, the auditor’s report for the fiscal year 2081/82 along with the balance sheet up to mid-July 2082, profit or loss account, cash flow statement of the FY 2081/82.
The AGM will endorse the proposal to appoint the auditor as per the recommendation of the auditing committee in accordance with the Clause 111 of the Companies Act, 2063 and the Clause 63 of the Bank and Financial Institution Act, 2073 BS.
The AGM will endorse the decision of the Board of Directors on the appointment of independent directors and the proposal to convert the promoter shares of the company into 8.65 percent of the total paid-up capital of the company and 53.72 percent of the promoter shareholders and 46.28 percent of the ordinary shareholders of the company ।
The meeting will authorize the Board of Directors to carry out all the functions related to merger and merger with other microfinance financial institutions, seek approval from the regulatory bodies regarding special proposals, amend and change any matter in the course of recording, if directed to amend and change the Memorandum of Association and Articles of Association of the company.
