Kathmandu. Pokhara—The annual general meeting of Pokhara Finance has endorsed a special proposal for merger with Samriddhi Finance.
The 28th and 29th annual general meeting of Pokhara Finance has endorsed a special proposal for merger with Samriddhi Finance. The meeting was held at Durbarthok Banquet in Bastolathar, Pokhara, Kaski.
The meeting also endorsed a proposal for merger between Pokhara and Samriddhi Finance and approved a special proposal to amend the memorandum of understanding as the share structure will be revised after the merger. The meeting also passed a proposal to merge both the companies on a 1:1 share swap ratio.
The meeting will endorse all the works during the merger process. The meeting also endorsed another special proposal to start integrated transaction with the final approval of Nepal Rastra Bank after the merger.
The same meeting held the financial year 2080 of Pokhara Finance. 81 and 2081. The committee has approved the annual report of 82 as well as the auditor’s report. The meeting held the current fiscal year 2082. The meeting also approved the proposal to appoint an auditor and determine his remuneration for 83 years.
Pokhara Finance had closed the book for the AGM on January 15. This means that only shareholders who were established before January 30 were eligible to participate in the meeting.
