AGM of Community Microfinance to be held today

Kathmandu. The 12th Annual General Meeting (AGM) of Community Microfinance is being held today. The meeting will be held at 11:00 am on Friday, April 10, according to the organization. The meeting will be held at Hotel Ugrachandi, Banepa-07, Kavrepalanchowk.

The AGM will discuss and approve the annual report of the FY 2081/82 to be presented by the Chairman on behalf of the Board of Directors, the auditor’s report for the fiscal year 2081/82 along with the balance sheet up to mid-July 2082 and the profit or loss account, cash flow statement of the fiscal year 2081/82 ।

The AGM will endorse the proposal to appoint the auditor as per the recommendation of the auditing committee in accordance with the Clause 111 of the Companies Act, 2063 and the Clause 63 of the Bank and Financial Institution Act, 2073 BS.

The AGM will endorse the decision of the Board of Directors on the appointment of independent directors and the proposal to convert the promoter shares of the company into 8.65 percent of the total paid-up capital of the company and 53.72 percent of the promoter shareholders and 46.28 percent of the ordinary shareholders of the company ।

The AGM will authorize the Board of Directors to carry out all the works related to the merger and merger of this financial institution with other microfinance financial institutions, obtaining approval from the regulatory bodies regarding the special proposals, amending and changing any matter in the course of recording, including the amendment and change of the Memorandum of Association and Articles of Association of the company ।
