The government has made easy arrangements to bring Non-Resident Nepal (NRN) into the capital market of Nepal. <\/p>\n<p>The Ministry of Law, Justice and Parliamentary Affairs has made the eighth amendment to the Securities Registration and Issue Regulations to facilitate the inclusion of NRNs in the capital market of Nepal. According to the amended regulation, the investment company established with the joint investment of the Government of Nepal and Non-Resident Nepalese will now be able to bring up to 85 percent IPO only for foreign citizens and non-resident Nepalese who have a permanent residence permit of any foreign country. <\/p>\n<p>The amended regulation states that the issue of shares should be reduced by 10 percent and not more than 85 percent of the issued capital. This has paved the way for more and more non-resident Nepalese to invest in Nepal&#8217;s capital market. <\/p>\n<p>Similarly, such companies will not be able to issue shares by increasing the premium. This means that companies will have to issue shares on the face value. <\/p>\n<p>The amended regulation states that the trading system of the shares issued by such companies should be made separate by the Securities Exchange i.e. Nepal Stock Exchange. The minimum number of units of share trading will be 1,000 units. <\/p>\n<p>These companies will be able to invest in shares, bonds and debentures in infrastructure projects with the approval of the Nepal Rastra Bank. They will also be able to issue securities in foreign currency as per the rules. <\/p>\n<p>The securities issued with the intention of investing in shares, bonds or debentures of this type of foreign currency shall be traded only between a non-resident Nepali who has a foreign citizenship or a permanent resident permit of any country. <\/p>\n<p>This arrangement will make it easier for NRN Nepal Development Fund to bring an IPO. This company aims to issue an IPO by 2027. <\/p>\n<p>The company aims to raise 10 percent of the proposed capital of the company, 5 percent of the government of Nepal, and the remaining 85 percent through the IPO.
