The history of the merger of the banking sector that started with the merger of Nepal Bangladesh Bank with Nepal Bangladesh Finance Limited has completed almost two decades now. <\/p>\n<p>The campaign initiated by the Nepal Rastra Bank (NRB) as part of the strategy of pressuring banks to merge with other banks with the investment of a single promoter group and financially distressed banks is still going on even after 19 years. <\/p>\n<p>The latest merger in the history of Nepal&#8217;s banking is the merger between Sunrise Bank and Laxmi Bank Limited (29 Ashad 2080), C class financial institutions Pokhara Finance Limited and Samriddhi Finance Company Limited (3 Ashad 2083) and the acquisition of Swarojgar Laghubitta Bittiya Sanstha in D-class financial institutions (21 Ashad 2083). <\/p>\n<p>Commercial banks have merged major commercial banks such as Global IME, NIC Asia, Kumari Bank, Prabhu Bank, Laxmi Sunrise Bank, Nepal Mega Investment Bank, Nabil Bank, Himalayan Bank and many other commercial banks and finance companies. In a span of 19 years, more than 50 development banks have merged with commercial banks. <\/p>\n<p>In the recent past, the Rastra Bank has been strategizing to forcibly merge or acquire banks and financial institutions that are at risk of becoming financially troubled with other Category A businesses. It seems that the Rastra Bank has taken such a strategy to maintain the trust of the general public in the banking system. It is based on the basis that this strategy of the Rastra Bank was the main reason behind the acquisition of Himalayan Bank by Civil Bank or the merger of Prabhu Bank with Century Commercial Bank. <\/p>\n<p>With the merger or merger of banks and financial institutions, the paid-up capital has increased and the ability to invest in large hydropower, infrastructure and industrial projects has increased. The risk appetite and access to modern technology have increased in large banks as compared to small institutions. The branch and customer base has expanded rapidly across the country. Due to the reduction in the number of many institutions, the interest rate and deposit tension have been controlled and the market has stabilized. <\/p>\n<p>Mergers and acquisitions among financial institutions have also added some challenges to the banking sector. According to bankers, the biggest challenge is the management and mobilization of manpower from two different work cultures and practices. In addition, the ratio of total bad loans has increased (5.6 percent) due to the transfer of non-performing loans to commercial banks by acquiring weak financial institutions or development banks. Although capital has increased rapidly, the returns of shareholders and earnings per share have decreased due to the failure to increase profits in the same proportion. Also, the operation and decision-making process has slowed down as the organization is large and complex. <\/p>\n<p>Due to the Nepal Rastra Bank&#8217;s mandatory policy of minimum paid-up capital of Rs 8 billion, there has been a huge increase in the paid-up capital and net assets of commercial banks. Before the merger, the paid-up capital of most commercial banks was limited to Rs 2 billion to Rs 5 billion and the net worth was limited to the same ratio. After the merger, the paid-up capital of major commercial banks has increased from Rs 10 billion to more than Rs 38 billion and the net assets have also increased from Rs 40 billion to Rs 60 billion.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Kathmandu.
